Terms of Service

These Terms are an agreement between you and MAXY Investment Inc., a Texas corporation, which operates ABright AI (“ABright,” “we,” “us”) at abrightai.com and in the ABright app (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be 18 or older to create an account. A parent, guardian or educator you invite must also be 18 or older.

Keep your password to yourself and tell us if you think someone else has used your account. You are responsible for what happens under it, including who you invite and who has your calendar feed link.

ABright has a free plan and paid plans, Premium and Unlimited, billed monthly or yearly in U.S. dollars. Each plan includes a set amount of AI use, shown in Settings; the prices and allowances on the Settings page are part of these Terms.

A paid plan renews automatically at the end of each period until you cancel. You can cancel at any time from Settings → Manage billing; your plan stays active until the end of the period you have paid for and then returns to Free. Payments are processed by Stripe.

Free trial. The first time an account chooses a paid plan, the first 14 days are free. We take your card at the start and charge it when the trial ends unless you cancel before then; we do not charge you if you cancel during the trial. Each account gets one trial.

Refunds.

• Monthly plans: payments are not refunded, and you can cancel at any time so the next month is not charged.
• Yearly plans: a full refund if you ask within 14 days of the purchase or of a renewal.
• A charge made in error, such as a duplicate payment, is always refunded.
• Where the law where you live gives you a further right to a refund, we honour it.

To ask for a refund, write to contact@closebossai.com from the email address on your account.

Unlimited is for fair use. It has no daily limit on AI use, for one student's own studying. Automated use, shared accounts and reselling are not allowed. Past a high monthly level of use, the Premium daily allowance applies until the next month begins.

If we change a plan's price, we will tell you at least 30 days before it applies to your next renewal.

You agree not to:

• break the rules of your school or course, including its rules on AI use and academic integrity;
• upload material you do not have the right to use, or record a class without the permission you need;
• use the Service to cheat on an exam or assessment, or submit AI-written work as your own where that is not allowed;
• attempt to get around the Service's limits or security, or use it to harm anyone.

ABright coaches; it does not write your work for you. Following your own school's rules is your responsibility.

You keep ownership of what you add. You give us permission to store, process and display it, and to send it to our service providers, only to run the Service for you. That permission ends when you delete the content or your account, apart from backup copies kept for a limited time.

ABright's lessons, answers, feedback, plans and estimates are generated by AI and can be incomplete or wrong. Mastery and readiness are estimates, not grades. ABright is not a substitute for your instructors, your course's official materials, or professional advice. Check anything important against those sources.

The Service, its software, design and brand belong to MAXY Investment Inc. These Terms give you a personal, revocable right to use the Service; they do not transfer any of it to you.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement and accuracy, to the fullest extent the law allows. We do not promise any grade or result, or that the Service will be uninterrupted or error-free.

To the fullest extent the law allows, our total liability for any claim about these Terms or the Service is limited to the greater of the amount you paid us in the 12 months before the claim and one hundred U.S. dollars ($100). We are not liable for indirect, incidental, special, consequential or exemplary damages, including lost data or academic outcomes.

These limits do not apply to gross negligence, wilful misconduct or fraud, or to liability that cannot be limited under applicable law.

You agree to defend and indemnify MAXY Investment Inc. against third-party claims arising from content you add, or from your use of the Service in breach of these Terms or the law.

You can stop at any time and delete your account from Settings. We may suspend or close an account that breaks these Terms, or when the law requires it. Sections 6 to 11, 13 and 14 continue after an account ends.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Binding individual arbitration. Any dispute about these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in Texas. Hearings may be held by video or on the documents. Either of us may instead bring an individual claim in small-claims court, and either of us may ask a court to stop infringement of intellectual property.

No class actions. You and we may bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding.

Opting out. You can opt out of arbitration by emailing contact@closebossai.com within 30 days of first accepting these Terms. Disputes that are not arbitrated will be heard in the state or federal courts in Texas.

If we change these Terms in a way that matters, we will tell you by email or in the app at least 30 days before the change takes effect; continuing to use the Service after that means you accept the change. If part of these Terms cannot be enforced, the rest still applies. Not enforcing a part is not a waiver of it. These Terms and the Privacy Policy are the whole agreement between us about the Service.
